Our Chance to fix VE . Official Notice for General Assembly Meeting with proposed amendments to CC&Rs

(Applications for VEHOA Steering Committee Members are on post below)

Dear Fellow VE Neighbor:
A large group of owners, via our VEHOA President, have called for this General Assembly (GA) meeting which calls to resolve the primary issues plaguing our community once and for all.

The following issues will be resolved for the benefit of EVERY VE owner;

1) A formal legal election of a Steering Committee (to eliminate the question once and for all)

2) A vote of Urgent amendments / additions to our CC&R’s designed to eliminate our problems.

*3) A vote which will determine once and for all what document is our governing body for the VEHOA ( Either the original ( 1937 Document ) created by the developer or the newest 2010 CC&R’s which has not been properly registered by our community.)

4) The Appointment of a new Board of Director’s (BOD)

We say, no more arguing, no more communication of dissension, We wish any and all owners under any circumstances who agree to serve our community, run for election and help us heal our community once and for all.  (We encourage those existing who say they are legally on the SC to,  agree to run in this election, problem solved, be elected, not appointed.).

Appointment deadline for a Steering Committee election and or Board of Director Vote is December 19th, 2014.  Please Submit your application (attached) to   veneighbors@gmail.com . Applications will be sent to each VE homeowner as an attachment, If you did not receive it or want to request one please send an email with the request to veneighbors@gmail.com and it will be sent to you.

Also, please send, assign or authorize your proxy to any owner you wish via email if you cannot attend the GA meeting as scheduled.

Dear Fellow Owner

The following are suggested and crucial amendments for each of us to vote on for our CC&R’s. We identify the specific problems plaguing our community to date and offer clear solutions by asking you to vote on these amendments.  These solutions protect and benefit each and every owner of our community in their entirety.  These amendments are a collaborated effort of Jerry Loveless, Rod Parker, Dennis Griffin and other HOA members.
These amendments also resolve the lingering question whether our HOA is operating under the originally registered 1937 deed or the recent 2010 CC&R’s.  While approving and incorporating these amendments below into the 2010 CC&R’s it eliminates the question of what is our lawful operating by-laws. (once the newly elected SC gets them properly registered in accordance to Panamanian law.)  By voting yes to the amendments herein you agree and accept that our 2010 CC&R’s will be our only governing by-laws for the VEHOA to operate under.
We believe these solutions will resolve any future differences between us as neighbors.  Please join us to restore peace in our community.

PROBLEM: Reckless Spending by a Steering Committee (SC) 

1)    AMENDMENT SOLUTION   Until such time a budget is approved by the majority of owners in accordance to the CC&R’s the SC cannot raise yearly homeowner’s dues or spend any unauthorized funds of the HOA outside of specific fixed obligations which are approved by the majority of VE home owners as essential obligations such as existing contractual obligations of the VEHOA, security, common area landscaping, water system maintenance and repair, waste system maintenance and repair, and or emergency expense obligations specific only to the infrastructure needs of Valle Escondido. No funds can be used on any 3rd party administration, marketing, consultant or legal services without the agreed majority vote of the VEHOA until which time a budget is approved.  The SC cannot engage, commit or obligate the community in any lawsuit (for or against), contract or other financial obligation unless already approved within the defined HOA budget; any expenditure outside of the approved HOA budget guidelines would require a vote of approval of the majority of homeowners.


 PROBLEM: Removal and conduct of a SC member or other‘s in a leadership role 

2)    AMENDMENT SOLUTION:  Any member of the VEHOA can call for a special vote to remove a SC member, or other in a leadership capacity, by submitting a petition for such removal signed by at least 40 homeowners. This is specific should there be any flagrant conduct detrimental to the community.  Such conduct could be defined as a personal attack in any way that injures a fellow HOA member (or other persons related to VE), unauthorized use of HOA funds or assets or any undefined action which was dishonest,  causes injury with intent to harm or injure a fellow HOA member. The SC cannot alter, adjust, change or terminate any existing contract of the HOA that exceeds a value of $10,000.00 annually or more without the majority consent of the HOA.  No authorized SC member, or other member of the community without written consent of the BOD and majority of the SC vote, are authorized to move, open, transfer or direct the transfer of any VEHOA funds to another account.  This special meeting which includes the vote for removal shall be held within ten days of proper notification and the accused party will be removed with cause for any above reason should there be a vote of a minimum of 1/2 of VE home owners in attendance whether in person or proxy. The removal is final and said party is asked to resign or be terminated immediately after notification. 


 PROBLEM: Prevention of Secret Meetings or Verbal Agreements/Contracts 

3)    AMENDMENT SOLUTION:  All official SC meetings must be open to any homeowner wishing to attend should any owner so desire. Any and all meetings must be recorded as part of the official record to have cause and effect in accordance to the CC&R’s of VEHOA.  A SC agrees to post all formal meetings on the VEHOA site for all members benefit within 72 hours via an audio file said meeting.  Any “unofficial” private meeting will have no legal standing with the VEHOA under any circumstances until such time it is under official meeting terms as outlined above.


PROBLEM: Reckless or careless actions by the SC or individual member  

4)    AMENDMENT SOLUTION: No SC member or other representative may send out any communication to any HOA member in an official capacity without the signed approval of 2/3rd’s of the SC if writing on behalf of the SC.  Each authorizing member agrees to personally assign their name with authority of said communication.  Should any SC member become involved in any lawsuit, claim or other action which causes any injury to a 3rd party and such action was unauthorized by the HOA in accordance to our CC&R’s, such SC member agrees to resign from their position until said case is resolved.  Said party is personally and solely obligated to pay their own legal fees to represent themselves and solely responsible for any and all judgments or awards for or against their person as it relates to said claims.  Should it be determined that the use of any VEHOA homeowner funds were used in the defense of or in paying a settlement for the personal actions of a SC member then the association has the right to place a lien against that SC members property and pursue a settlement in accordance to Panamanian laws.

A continuación se sugieren las enmiendas modificaciones a los reglamentos para que puedan votar por ellas. Identificamos los problemas concretos que aquejan a nuestra comunidad y ofrecemos  las soluciones claras al pedirle que pronunciarse sobre estas enmiendas. Estas soluciones protegen y benefician a todos y cada dueño de nuestra comunidad en su totalidad. Estas enmiendas son un esfuerzo colaborado de Jerry Loveless, Rod Parker, Dennis Griffin y otros miembros de la Asociación de Propietarios.
Estas modificaciones también resolverán la persistente pregunta de si nuestro HOA está operando bajo el principio registrado 1.937 escritura o la reciente 2010. Si bien la aprobación y la incorporación de estas enmiendas en el reglamento de 2010 que eliminó nuestros estatutos (una vez que el SC recién elegido se les debidamente registrados de conformidad con la ley panameña), al votar sí las enmiendas del presente documento usted está de acuerdo y acepta que nuestro 2010 CC & R será nuestro único gobernante de los estatutos de la VEHOA.
Creemos que estas soluciones se resuelven las diferencias futuras entre nosotros como vecinos. Por favor, únase a nosotros para restaurar la paz en nuestra comunidad.
Problema: el gasto imprudente por un Comité Directivo.
1) SOLUCIÓN ENMIENDA Hasta que un presupuesto sea aprobado por la mayoría de los propietarios de acuerdo a los reglamentos, el Comité Directivo  no puede aumentar las cuotas de propietarios anual o gastar los fondos no autorizadas de la Asociación de Propietarios fuera de obligaciones fijas específicas que sean aprobadas por la mayoría de VE salvo las obligaciones esenciales, tales como las obligaciones existentes contractuales del VEHOA, seguridad, jardinería área común, el mantenimiento y la reparación del sistema de agua, el mantenimiento del sistema de residuos y la reparación, y cualquier otra obligación como los gastos de emergencia específicos sólo a las necesidades de infraestructura de Valle Escondido. Los fondos no pueden ser utilizados por terceras personas, la comercialización, consultor o servicios legales sin el voto de la mayoría acordada del VEHOA hasta el cual se aprobó un presupuesto. "Además, el Comité  no puede participar, comprometerse o obligar a la comunidad en cualquier demanda (a favor o en contra), contrato u otra obligación financiera a menos que este aprobado en el presupuesto de la Asociación de Propietarios; cualquier de los gastos de adicional será aprobado por HOA y requeriría un voto de aprobación de la mayoría de los propietarios.

PROBLEMA: La eliminación de un miembro del Comité Directivo
2) SOLUCIÓN ENMIENDA: Cualquier miembro de la VEHOA puede pedir una votación especial para eliminar un miembro SC, mediante la presentación de una petición de dicha retirada firmada por al menos 40 propietarios. Esto debe ser específico pues debe haber una conducta flagrante en detrimento de la comunidad. Tal conducta se podría definir como un ataque personal dañe a un compañero HOA (u otras personas relacionadas con VE), el uso no autorizado de los fondos HOA o activos o cualquier acción indefinido que era deshonesto, causa lesiones con intención de dañar o lesionar a un miembro de la Asociación de Propietarios. El SC no puede alterar, ajustar, cambiar o terminar cualquier contrato en vigor de la Asociación de Propietarios que excede un valor de $ 10,000.00 al año o más sin el consentimiento de la mayoría de la Asociación de Propietarios. Ningún miembro SC esta autorizado, u otro miembro de la comunidad sin el consentimiento por escrito de la DBO y la mayoría del voto SC, a mover, abrir, transferir o dirigir la transferencia de los fondos VEHOA a otra cuenta. Esta reunión especial que incluye el voto para el retiro se llevará a cabo dentro de los diez días de la notificación adecuada y la parte acusada será removido con causa, por cualquier motivo anterior debe haber un voto de un mínimo de 1/2 de VE los dueños de casa en la asistencia en persona por poder. La retirada será del miembro Comité será definitiva pudiendo dimitir o ser expulsado del Comité después de la notificación.
PROBLEMA: Prevenciones de reuniones secretas o contratos privados
3) ENMIENDA SOLUCIÓN: Todas las reuniones oficiales SC deben estar abiertos a cualquier propietario que desee asistir cuando así lo desee. Cualquiera y todas las reuniones deben ser registrados como parte del registro oficial, de acuerdo a los Reglamentos de VEHOA. Un miembro del SC se compromete a publicar todas las reuniones formales en el sitio VEHOA para todos los miembros conozcan en un período  de 72 horas a través de un archivo de audio dicha reunión. Cualquier reunión privada "no oficial" no tendrá ningún efecto jurídico con la VEHOA en ningún caso hasta el momento en que se encuentre bajo los términos de reuniones oficiales como se indicó anteriormente.
PROBLEMA: acciones imprudentes o negligentes por parte de la SC o miembro individual
4) SOLUCIÓN ENMIENDA: Ningún miembro SC u otro representante pueden enviar cualquier comunicación a cualquier miembro de la Asociación de Propietarios de manera oficial sin la aprobación firmada de 2/3 ª de la SC si escribir en nombre de la SC. Cada miembro se compromete a autorizar asignar personalmente su nombre con la autoridad de dicha comunicación. Si algún miembro SC se involucra en cualquier juicio, reclamación u otra acción que cause algún daño a una tercera parte y el recurso fue autorizado por la Asociación de Propietarios de acuerdo a nuestro reglamento, como miembro de SC se compromete a renunciar a su posición hasta que dicho caso sea resuelto . Dicho parte está obligada personalmente y solamente para pagar sus propios honorarios legales para representarse a sí mismos y el único responsable de cualquier y todas las sentencias o laudos a favor o en contra de su persona y su relación con dicho reclamaciones. Si se determina que el uso de los fondos de VEHOA se utilizaron en la defensa o en el pago de una liquidación para las acciones personales de un miembro del SC entonces la asociación tiene el derecho de colocar un gravamen sobre que los bienes del miembros que utilizo esos fondos y buscar una solución de conformidad con las leyes panameñas.

Finally! Finally! Lets settle our differences and find peace! ANYONE WHO DISPUTES THIS AS A SETTLEMENT NEEDS TO MOVE OUT OF VE! We have all had it and will not deal with wasting our time & money.

Thanks you to,whoever worked on this. I read the amendments and they make complete sense and each addresses specific problems we have experienced. This gives some control back the the homeowners where it belongs. I really hope that the "existing" SC take this as an opportunity to to settle issues once and for all. It would be refreshing to have everyone embrace this rather than hearing deflections.

Interesting amendments. Get ready to hear the lies from Bill Day's group trying to claim that somehow these amendments to the CC&Rs benefit the developer. I see nowhere, in what is proposed in these well thought out amendments, anything that would benefit the developer. To the contrary these amendments actually give a mandate for the SC to move forward on anything the majority of the homeowners allow. Want to demand things from or sue the developer, put it up for vote. Once it is approved the developer can no longer say it is a personal agenda of a few. These amendments give the SC the mandateneeded to stand up for our rights. Just get majority homeowners approval, which should be a normal given, and go for it.

I am also glad those on the existing appointed group seem to be accepting and maybe agree to work with us all for these goals. That is great! Mr. Frias has a valid question. Should a SC member have to live in VE at least 6 months per year? We should vote on this. Lets go owners. Lets solve our problems together with these amendments! Thanks to whoever is responsible for these solution ideas. Well overdue!

We, the home owners of VE, have just received an invitation to attend a General Assembly Meeting on January 10, 2015 in the Bamboo Room at 2 pm. My sincerest request is that you don’t ignore this invitation and come to this important meeting. Mark it on your schedule now.
The meeting is occurring as we begin a new year and we are being given an opportunity to set aside our differences and become whole again. Yes WHOLE. Remember when we all felt absolutely great living in Valle Escondido and it was a pleasure to talk with everyone about our fantastic community with all the wonderful amenities. Please understand that our fantastic community hasn’t changed … we have. We have managed to create immense amounts of negative energy which is felt by all. Are you happy with how you feel? I know I’m not. Yet I know we all want the same thing … a peaceful, vibrant community we all can be proud of. Well we have a choice. We can attend the meeting and begin working together to get just that. Yes we can do it. Then we can walk out of the meeting with our sense of pride shining through for all to feel and see. So make plans to attend the meeting. I look forward to seeing you there.

The facts are that the current SC is illegal and anyone arguing that is just plain ignorant and has a personal agenda. First we have Carol Bruner, who has not stepped foot in VE for over a year, who has already admitted that she was appointed to a SC position where the person she replaced never resigned nor was any resignation for that person ever accepted. On top of that, you can only be appointed to that position if the resigning member votes with the majority of the SC for his/her replacement. He never knew anything about Ms. Bruner's "appointment" and has signed an affidavit to these facts. I guess it is OK because the SC apologized. It does not work that way!
Then we have Jeannie Bell who resigned on three separate occasions with a copy of her most recent resignation available for all to view on an earlier blog post. Once you resign you cannot just come back especially not three times as there is a process. It does not work that way.
Then we have the appointment of Pat Mains where the current SC admits in writing that they took the vote of the spouse of a SC member as they were trying something new. It does not work that way!
They also admitted using the vote of Michael Traynor as an alternate. There is no such thing as an alternate in any of the CC&Rs whether they are deed 1937 or 2010. It does not work that way!
This all is so completely illegal yet somehow these power hungry people listed above actually claim that they were duly "elected" and have legitimacy.
How can anyone in their right mind not see that the current and past activities of this SC have been completely outside of the rules.
