Dear Home owners of Valle Escondido:
This is a translation of original letter and serves only for information and courtesy purposes.
It is regrettable for LIBERTY SERVICES CORP to have to contact you under difficult circumstances such as the one we
have in our hands, in which some residents are suffering without electricity due to the lack of action on the part of its Steering Committee.
As we have stated before, the company LIBERTY SERVICES CORP., corporation of the Republic of Panama, which provides services of operation and management to the Valle Escondido Resort, has been administering for a few years the major client electricity account of all of the Valle Escondido properties with UNION FENOSA, due to the lack of organization of the home owners association.
The electrical infrastructure that have been used by the property owners since they moved into their properties;
corresponds to a common good of the residential and commercial complex, which must be maintained by the property owners.
Liberty Services Corp has been responsible in good faith for the administration of the major client electricity account,
without profiting from that administration, charging only a minimum fee corresponding to the direct administrative cost
of readings and monthly regular maintenance; which, has been knowledge of all residents thru different releases and
reports, in order to take proper measures to remedy this situation in the future. It is not, nor has it been interest of
Liberty Services Corp., to carry out an activity that is not intended for, and that has been forced to carry out for the
benefit of all, as manifested.
Therefore, it does not correspond to Liberty Services Corp the replacement or repairing of equipment, which are
common good electrical infrastructure that serves the residential and commercial areas. The administrative services
carried out, cover only the concerned regular monthly maintenance, which we detail here:
1. Cleaning of all the underground Chamber or manholes.
2. Verification of the voltage and current of each transformer.
3. The golf view camera 2 and 151 condo for winter are drained twice a month each.
5 Reading and revision of meters.
6 Billing of electricity.
7 Collection.
8. Payment of service.
Below, for your reference, we present to you the HISTORY and CONTRACTS for the supply of electricity:
* Liberty Services Corp. as the operator of the resort of Valle Escondido assumed in good faith in the year 2011 the
electricity supply contract with Union Fenosa for the administration of the major client account for Valle Escondido

"Hello Rosaura:
Should contemplate having a transformer in stock for any future damage.
Delivery time is up to 6 weeks and God forbid we have another damage as we did last year and we don't have a spare.
Tell residents about this topic since these are unexpected expenses that are not contemplated in the.02 cents x kw charged for reading, billing and collection services.
The damage from December was between parts connection and replaced equipment B / 6013.95 which shall be reimbursed by the Association. Best regards."
* Liberty Services has no contract to provide electricity services to the Association of owners of Valle Escondido.
* Liberty Services has no contract to provide electricity to any residence in Valle Escondido.
With everything described above, it is clear that Liberty Services Corp, as the Administrator of the Valle Escondido
Resort has no obligation of providing electricity to the residents of Valle Escondido. Electricity comes from Union
Fenosa, but because of the networks design approved in the legislation in place at the time this residential project was
conceived, and in accordance with the regulations of Union Fenosa to this date, there is a single account to that entity for
electricity.
We reiterate that Liberty Services Corp signed contract with Union Fenosa for the payment of services of electricity of all
the residential and commercial areas of Valle Escondido under the previously explained circumstances, but is the
responsibility of all users of these services to pay for it. We mention this, since many times some residents remained
delinquent in payment of electricity bills, and even so Liberty Services Corp has had to meet the payments from all
invoices generated by Union Fenosa, Thus subsidizing the aforementioned delinquent accounts.
In December 2012, Liberty proceeded in good faith to make a replacement of a transformer incurring a cost of $6.013.95
dollars under the understanding that it would be reimbursed by VEHOA. VEHOA agreed with Liberty Services to make
this payment and to this date VEHOA owes to Liberty Services all of the said amount.
In the same way, we refer to the request for change of administration.
* Since September of 2013, Liberty Services Corp requested VEHOA to take care of the billing of electricity services.
* At that time, Liberty Services Corp requested to the Association to establish the bases so that VEHOA would take over these services, because they are provided on a common infrastructure that serves both the residents and the resort that Liberty Services Corp manages. Therefore the property that the Resort occupies should be considered a member of the Association or a new entity should be formed in which the resort and the Association would be part of for the effect of
warranties that could occur; and equally, the conditions of Liberty Services Corp as the administrator, would be
established which, to date, has not been given.
* Liberty Services has only 11 electricity meters while VEHOA has 169 meters.
Given the above considerations, here are the DAMAGES of Electricity System today:
* Saturday August 30, Liberty Services contact the company Proequip to perform inspection and re-establishment of the
electricity and found that the damage is not of the transformers that affects the area of Escondido Estates.
* Monday the 1st of September, the company PROEQUIP presented a quote for the transformer and manpower services
of $14,209.60 this transformer was available in Panama for immediate delivery. VEHOA can very well get a different
quote from another provider.
* In the course of the week, a group of residents of Escondido Estates approached our Administrative Director, Analía
Velásquez to work together to repair the damage, and they have proceeded to quote with an engineer hired by them, the
transformer will be installed this weekend.
Finally, with respect to the WAY OF PAYMENT of the damage, this decision must be made by the decision-making
bodies of VEHOA, however, may we recommend that payments are made in direct proportion to the kwt consumption by the users:
* Is our consideration that Okrasen Commercial (the Resort) and VEHOA must pay in proportion to the amount of Kwts
that they consume. Based on the last 3 months, electricity consumption has been 25% Resort, and a 75% VEHOA.
In this way, the amount due from two years ago and this damage should be paid.

In consequence, after all proper calculations of the costs involved and VEHOA canceling the current and past damage, it could very well be that there is still money owed by VEHOA to Liberty Services Corp by which we asked VEHOA take
proper actions immediately to address the damage and, in addition, proceed with the immediate reimbursement of the
amount owed to LIBERTY Services Corp.
The VEHOA Steering Committee has put this situation in the hand of their attorneys; meanwhile residents who pay their
fees are affected by this situation, which does not depend on Liberty Services.
We very much regret this situation, but we can't do anything until the VEHOA approve such repairs and provides its part of the payment.
